About the Engagement

Showa Denko (SDK) (TOKYO: 4004) has decided to acquire all shares in Industrielack AG (ILAG) – a leading non-stick coatings manufacturer headquartered in Switzerland – and has signed a stock purchase and sale agreement with the current owners, a Swiss investor group led by Helvetica Capital.

Stenvall Skoeld & Company (SSCO) acted as financial advisor to SDK for this transaction as part of a structured M&A initiative aimed at strengthening SDK’s existing nonstick coatings business.

ILAG is the fourth largest player in the global nonstick coatings market for housewares and the second largest player in Europe. ILAG will be highly synergistic with GMM, a nonstick coatings manufacturer with a leading position in the US market, which SDK acquired in 2016.

The engagement underscores SSCO’s strong position as a buyside advisor with expertise in helping global corporations initiate and complete attractive middle-market acquisitions between Asia and the Western economies.
